Don't Miss Out: Special Membership Meeting & Bylaw Amendments - August 29th

Dear Members,

We are officially calling a Special Membership Meeting of the Eastern Bison Association to be held on Friday, August 29th at 3:00 PM at Alpine Lake Resort in Terra Alta, WV. This meeting will also serve as our semi-annual member gathering, and we strongly encourage your participation, in person or virtually.

Why This Meeting Matters

We’ll be voting on a critical set of bylaw amendments designed to strengthen the legal and operational foundation of the association. These proposed changes address serious governance challenges that have recently come to light, including documentation gaps that put the association at risk of IRS noncompliance, banking access restrictions, and a lack of clarity around officer authority.

The proposed amendments will:

  • Establish clear term limits for officers and a leadership pipeline.

  • Create an Executive Committee to handle time-sensitive matters

  • Restrict overlapping family service on the board

  • Reduce board size for better efficiency and accountability

  • Clarify voting rights and structural integrity at the board level

While these amendments were not voted on by the full board, they are being brought forward by the President, Secretary, Treasurer, and Chairman of the Board — your executive officers — with support from governance and legal advisors. Per our bylaws, it is the membership that holds final authority to approve or reject these changes, and this meeting provides that opportunity.

Voting will take place via a secure, verified online platform — one vote per ranch.

Bonus: Riffle Farms will host an optional farm tour at 12:00 PM that day for any members interested in seeing the operation up close.
